Negotiated and Discounted Conditions

CNR correspond to discounted prices resulting from a commercial negotiation between a supplier and a distributor.
Unlike public (or catalogue) prices, CNR directly include negotiated discounts and serve as the actual pricing basis used in commercial transactions.
The FAB-DIS CNR template makes it possible to provide distributors with net discounted prices instead of only public prices, manage differentiated commercial policies according to agreements, and simplify the updating of distributors’ information systems.

Why 2 separate files?

Separating the commercial conditions specific to the manufacturer/distributor relationship (CNR file) from the catalogue data (FAB-DIS file) ensures easier management within a clear and structured framework.

Ease of management

This avoids having to:
➔ Manage as many FAB-DIS files as there are distributor customers
➔ Reissue or integrate a new FAB-DIS file every time a negotiated condition changes
➔ Risk sharing sensitive and confidential data by mistake
➔ Clearly express your commercial terms and build your file using one or more tabs provided in the FAB-DIS CNR templates.

Framework to follow

The use of the FAB-DIS CNR templates must respect the full autonomy of economic stakeholders and contractual freedom.


Sending a Negotiated and Discounted Conditions file does not imply acceptance by either party. Acceptance is based on the partners’ consent and on the commercial contract, which alone is legally binding.

Usage prerequisites

The FAB-DIS CNR templates are:
Voluntary: they may in no case be used as a selection criterion in the supplier/distributor relationship.

Non-exclusive: they do not require the distributor or manufacturer to accept or use all the options provided.

Non-exhaustive: scenarios not covered are handled through specific tabs (free, non-standardized structure) and/or other documents to meet business practices and specific needs.

Identifies the issuer, the manufacturer, data parameters, issue date, and the version of the FAB-DIS CNR templates

Discount by product family

Simple or cascading discounts by family, indexed to the price list

Discount by product reference

Simple or cascading discounts by item, based on quantities, indexed to the price list

Net prices per item

Essential for items without a price list. Indicates, for each commercial reference, the net prices based on quantities

Order threshold

For each commercial reference: possible expressions of the item price based on order thresholds (monetary or quantity)

Promotional price

Promotional campaigns on a selection of commercial references for a defined period
